13. RECURRING SUBSCRIPTIONS

When you purchase a recurring membership or subscription, the checkout page or applicable offer will disclose its billing frequency and price.

Unless otherwise stated, subscriptions continue until canceled according to the cancellation procedures associated with the applicable offer.

By purchasing a recurring subscription, you authorize recurring charges to the payment method you provide until cancellation becomes effective.

14. REFUNDS

15. CHARGEBACKS AND PAYMENT DISPUTES

Nothing in this provision waives any non-waivable rights you have under applicable payment-card, banking, or consumer-protection laws.

Fraudulent or knowingly false chargeback claims may result in suspension or termination of Services and pursuit of remedies available by law.

If you submit comments, reviews, testimonials, photographs, videos, feedback, or other materials to us, you represent that:

You have the right to provide the content;

The content does not violate another person's rights;

The content is not knowingly false or unlawful; and

Providing the content does not violate a confidentiality obligation.

Any commercial use of testimonials, images, or likenesses will be handled according to applicable permissions, releases, and law.

TO THE EXTENT PERMITTED BY LAW, BHE CONSULTING GROUP'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PAID PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO BHE CONSULTING GROUP FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE APPLICABLE PERIOD.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

31. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BHE Consulting Group and its owners, officers, directors, employees, contractors, affiliates, agents, and representatives from third-party claims, damages, liabilities, judgments, costs, or expenses, including reasonable attorneys' fees, arising from:

Your unlawful use of the Services;

Your material violation of these Terms;

Your infringement of another person's rights; or

Content you knowingly submit in violation of law or third-party rights.

This provision does not require you to indemnify BHE Consulting Group for conduct for which indemnification is prohibited by law.

32. TERMINATION

We may suspend or terminate access to the Website or Services when reasonably necessary because of:

34. OPTIONAL ARBITRATION PROVISION — COUNSEL REVIEW REQUIRED

IMPORTANT: This section should be finalized with legal counsel before publication.

Except where prohibited by applicable law, the parties may agree that disputes arising from these Terms will be resolved through binding individual arbitration rather than a lawsuit in court.

If BHE Consulting Group elects to use mandatory arbitration, the final provision should specify:

Governing arbitration rules;

Arbitration administrator;

Location or remote proceeding procedures;

Allocation of arbitration costs;

Small-claims exceptions;

Opt-out procedures where appropriate;

Class-action waiver language; and

Any state-specific requirements.

35. GOVERNING LAW

These Terms will be governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, except where another jurisdiction's mandatory consumer-protection laws apply.

Subject to any valid arbitration agreement, the parties consent to jurisdiction and venue in the appropriate state or federal courts located in Oklahoma County, OK, to the extent legally permitted.

36. FORCE MAJEURE

BHE Consulting Group will not be responsible for delay or failure to perform resulting from circumstances outside its reasonable control, including:

Natural disasters;

Severe weather;

Epidemics or pandemics;

Governmental actions;

War;

Terrorism;

Labor disruptions;

Utility failures;

Internet outages;

Cyber incidents;

Platform outages;

Supplier failures; or

Other force majeure events.

37. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.

38. WAIVER

Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

39. ASSIGNMENT

You may not assign your rights or obligations under these Terms without our prior written consent.

BHE Consulting Group may assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of business assets, or similar transaction, subject to applicable law.

40. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, applicable Refund Policy, checkout terms, and any specific written agreement governing a product or service, constitute the applicable agreement between you and BHE Consulting Group concerning use of the Services.

A separately executed agreement may supplement or supersede portions of these Terms.

41. CHANGES TO THESE TERMS

When revisions are made, we will update the “Last Updated” date.

Where required by applicable law, material changes will be communicated through additional notice.
